Position Description

The Associate General Counsel - Corporate and Securities is a senior leader who advises Atlantic Union Bankshares (together with subsidiaries and affiliates, including Atlantic Union Bank, the "Company") on compliance with securities laws and other laws and regulations related to the Company's status as a public company. The Associate General Counsel - Corporate and Securities also provides legal advice on strategic and non-strategic corporate transactions.

Position Accountabilities



  • Advise the Company on wide array of federal and state securities laws and regulations including, without limitation, the Securities Act of 1933, Securities Exchange Act of 1934, and NYSE rules. Assist in preparation of the Company's periodic reports and disclosures under securities laws including, without limitation, all 10-Ks, 10-Qs, 8-ks, earnings releases, proxy statements, Section 16 filings, and NYSE filings.
  • Monitor developments in federal and state corporate and securities laws and regulations. Develop and implement policies, processes, and strategies for compliance with such laws and regulations.
  • Provide legal advice and support for strategic and non-strategic corporate transactions including, without limitation, mergers and acquisitions, divestitures, various cash management, liquidity and capital strategies, such as debt and equity issuances and stock repurchases, investments, joint venture and partnership opportunities, asset sales and purchases, and intercompany transactions.
  • Independently or in close coordination with outside legal counsel, as applicable, help ensure successful closings of strategic and non-strategic corporate transactions. Identify appropriate transaction structures. Offer practical, business-oriented solutions to complex transactional problems. Draft, review, and negotiate a wide array of transaction agreements. Coordinate and conduct due diligence as needed. Manage transactions to successful closings.
  • Oversee the Company's insider trading policy compliance program. Develop and implement controls, policies, processes and standards for compliance. Manage approvals of insider stock purchases and sales. Ensure timely, compliant reporting of insider stock trades under Section 16.
  • Oversee the Company's corporate governance practices and all support of the Board of Directors and its committees. Develop and implement policies, processes, and strategies for best practices in corporate governance and corporate secretary function. Ensure best practices are followed in recordkeeping and maintenance of minutes of meetings of the Board of Directors and its committees. Draft board resolutions and other board materials as needed.
  • Oversee maintenance of corporate entities and all subsidiary management, including without limitation formation and dissolution of corporate entities.
  • Partner with internal stakeholders as needed, such as investor relations, accounting, financial, and marketing teams, to address a wide array of legal and reputational risk issues. Provide sound legal advice and counsel to internal stakeholders to help the Company protect its business, commercial, and reputational interests.
  • Engage and oversee the quality and cost effectiveness of work of legal counsel hired to represent the Company. Manage legal expenses to achieve budget targets.
  • Develop sound legal assessments, interpretations, recommendations and opinions regarding the Company's legal rights and obligations.
  • Lead discussions on complex topics with a wide range of stakeholders, including members of executive management and the Company's Board of Directors.
  • Provide legal advice and support, and perform a wide variety of other tasks, as assigned to help the Company protect its business, commercial, and reputational interests


General Duties



  • Provide expert, practical legal advice on a wide array of federal, state, and local laws and regulations affecting the Company generally or assigned lines of business and/or functions.
  • Develop recommendations to address complex legal problems and matters of significance to the Company.
  • Understand the Company's business strategies and use such understanding to inform legal advice.
  • Lead discussions on complex legal topics with a wide variety of stakeholders, including members of the Company's Board of Directors and executive management team.
  • Help formulate and implement the Legal Department's strategic goals and initiatives.
  • Develop legal strategies for achieving business goals and resolving disputes.
  • Retain and manage outside legal counsel in a manner that ensures the quality, efficiency, timeliness, and soundness of legal advice.
  • Proactively identify and perform other tasks to help the Company comply with applicable law and protect its business, commercial, and reputational interests.


Management Duties



  • Oversee delivery of legal services to assigned lines of business and/or functions to ensure the quality, efficiency, timeliness, and soundness of legal advice. Establish goals, standards and policies for delivering legal services; monitor and measure operational performance; and implement improvements.
  • Manage legal expenses to meet budget targets for assigned lines of business and/or functions. Develop budget; analyze spending data; and report on results.
  • If applicable, manage a team comprised of one or more lawyers, paralegals, or administrative staff providing legal services to assigned lines of business and/or functions. Provide leadership and guidance; establish goals and standards; monitor and measure team performance; assess performance of individual team members; make compensation recommendations; and retain and develop talent.
  • Monitor, analyze, and make recommendations regarding legal developments that may affect assigned lines of business and/or functions.


Position Qualifications

Education & Experience



  • Minimum of 15 years of relevant experience as a practicing attorney in a law firm or as in-house lawyer at a public company
  • At least 1 year of experience as in-house lawyer at a financial institution preferred
  • Licensed Attorney admitted to practice in the Commonwealth of Virginia or other relevant state or able to satisfy corporate counsel reciprocity requirements for entry into such jurisdiction
  • Completion of accredited Law School with degree (J.D.)
  • Completion of four years of college undergraduate study with degree

  • Excellent interpersonal skills and the ability to interact effectively with a wide range of stakeholders
  • Business orientation with ability to provide practical solutions
  • Ability to identify risks and propose alternative structures or actions to mitigate those risks
  • Excellent attention to detail and ability to remain organized
  • Ability to consistently exercise independent judgment
  • Highest degree of adherence to ethical standards in the legal profession


Salary offered will be based on several factors including but not limited to education, work experience, certifications, etc. The salary range for this role is $211,283--$405,737. This position is also eligible to participate in either an applicable incentive compensation plan for the position or a discretionary profit sharing bonus program.
