In this role, you'll help ensure that the business engine powering Datavant keeps running smoothly and continues to scale as the company grows and develops new products, enabling us to help achieve our vision of transforming the healthcare industry. Our Legal team is still small and lean, and you will immediately have the opportunity to step in, own projects, and become a critical member of our team.

You Will:



  • Provide thoughtful and practical product, business, and legal counseling on various legal risks, business strategies, and other issues related to product features, commercial transactions, and general operations.
  • Manage and resolve complicated issues related to commercial deals, and drive alignment with various cross-functional teams.
  • Draft, negotiate, and advise cross-functional teams on a wide variety of commercial agreements with a focus on Payer/Provider contracts, other duties include reviewing contracts for new business development initiatives, supplier agreements, data agreements, consulting agreements, partnership agreements, NDAs and vendor contracts.
  • Own the entire contracting cycle--from initial draft to execution--and collaborate with business and product teams to drive contract negotiations to timely and successful completion.
  • Develop familiarity with internal departments and the Company's business practices to help identify and manage risk related to contracts and accurately and clearly communicate the meaning of contract terms and associated risks as they relate to the business.


What You Will Bring to the Table:



  • J.D., with strong academic credentials and membership in at least one U.S. state bar.
  • 7+ years' commercial or corporate experience in-house or at a law firm
  • Outstanding written and verbal communication skills, with ability to advocate for a position while maintaining a collaborative and open-minded approach.
  • Highly organized, reliable, detail-oriented, and diligent.
  • Ability to work on multiple issues simultaneously and to set appropriate priorities with clients and to deliver results efficiently.
  • Proven ability to provide entrepreneurial, pragmatic, business-oriented advice, with a dedication to superior customer service.
  • Ability to operate autonomously while being a team player who brings a positive attitude to the job.


Bonus Points For:



  • Experience with Payer/Provider contracting
  • Commercial transaction experience including IP, technology and software/SaaS agreements with significant experience drafting, negotiating, and managing commercial deals for technology companies (either in-house or at a law firm).
  • Experience and knowledge of U.S. healthcare and privacy laws, including HIPAA and data privacy rights and related issues

Individual rates for the same job title may differ based on their level, responsibilities, skills, and experience for a specific job. The estimated salary range for this role is $150,000-$225,000.
